This End User Licence Agreement (“EULA”) contains the terms and conditions which apply to the use of a Font on a desktop. 

The Font is made available for use by Socio Type Ltd, a company registered in England and Wales under number 11821344 and with its registered address at 3rd Floor, 86-90 Paul Street, London EC2A 4NE. Socio Type Ltd is referred to as “we”, “us” and “our” in this EULA and the entity or individual purchasing and using the Font is referred to as “user” and “you”, “your” and “yours”. “Font” refers to the design of the font in combination with the underlying software which generates the typographic design, typeface and any other elements of a font, as well as any accompanying documentation. If you purchase multiple fonts, Font refers to each font you purchase.

Once you purchase a Font and you click ‘accept’, you enter into a binding legal agreement with us and you are bound by this EULA. Therefore it is important to read and understand this EULA before you make a purchase. If you do not agree with or you do not want to be bound by any of the provisions of this EULA you should not purchase and use our Fonts. 

When a company purchases a Font, the individual acting on behalf of that company warrants that it is authorized to act for and enter into binding legal agreements on behalf of the company. 

When you purchase a Font from us, it does not mean you will become the legal owner thereof. The Font remains our property at all times. When you purchase the Font, you pay for the right to use it under the restrictions set out in this EULA. 

We are and will remain at all times the exclusive proprietor of all intellectual property rights in and attached to the Font, including, without limitation, copyright, design rights, rights on computer software and database rights. You acknowledge that you will not have access to the source code of the Font. We are also the exclusive proprietor of the Socio Type trade name, trademark and logo. You may not use it without our prior written consent. 

Subject to full payment of the applicable licence fee, we grant you a limited, non-exclusive, non-transferable, revocable, worldwide licence to use the Font in accordance with the terms and conditions contained in this EULA. This licence is valid perpetually, provided you do not exceed the limits of your licence. Any other use beyond what is allowed under this EULA is strictly forbidden and is considered an infringement of our rights. Please refer to clause 3 for an overview of what you are allowed to do and what you are not allowed to do under this desktop licence.

You May:

• Download, install and use the Font (as set out below);
• Use the Font for the number of Computers agreed on. We provide for licenses allowing use on 1-3 Computes, 4-6 Computers, 7-10 Computers and so on. The Font may be installed on a server, provided the number of Computers able to access the Font does not exceed the number of licensed Computers;
• Embed the Font into digital documents, including PDFs, provided that the document text can be viewed and printed but not edited, and you ensure by taking reasonable measures that users of the documents cannot extract or otherwise use the Font;
• Make one copy of the Font for back-up purposes only.

A Computer can be a desktop computer, laptop, tablet, smartphone or similar device. 

If you want to use the Font on more Computers, you need to purchase additional usage rights. Please contact us if you want to extend your licence. 

You May Not:

• Copy or reproduce the Font other than strictly necessary for back-up purposes as referred to above;
• Modify, reverse-engineer, disassemble, decompile or create derivative works based on the whole or part of the Font in any way; 
• Combine the Font or any part of it with or incorporate it into any other programs;
• Publish, make available, disseminate, distribute or otherwise communicate to the public the Font;
• Transfer, rent, lease, loan, merge or sublicence the Font to any other person or entity;  
• Delete or obscure any proprietary signs;
• Use the Font for resale purposes;
• Embed the Font in websites, apps or e-books; 
• allow or enable anyone else to undertake any of the above actions.

You agree to refrain from all such actions and you shall procure that anyone else shall refrain from taking any such actions and you understand that you will be fully liable to us for any damages and losses suffered by us if you or anyone else takes such action. 

You are solely liable for compliance with the provisions of this EULA by you and any Users of Computers. 

If you use or plan to use the Font on a social media platform, you can use this desktop licence for the number of Computers allowed under your licence, but the following limits apply:

• Instagram/Twitter/TikTok/similar: you can use our desktop licence on your account if you have a maximum of 50.000 followers.
• YouTube: you can use our desktop licence on your account up until you start monetising from your account (from 1,000 subscribers onwards).

Once you exceed any of the above mentioned limits, you should contact us by email at info@socio-type.com to upgrade your licence.

You are not allowed to transfer this licence to anyone else and therefore you may not share the Font with third parties. You are however, for the avoidance of doubt, allowed to:

• Share the Font with your client, provided the use by your client does not result in exceeding the amount of Computers you are allowed to use the Font on. In the event such use would result in exceeding the limits of your licence, you agree to inform your client of their obligation to purchase a licence from us; 
• Provide the files you incorporated the Font in to a printer, service bureau or web developer working on your behalf, provided they only use the Font in relation to your work and abide by all the terms of this EULA. They have to delete any copies of the Font immediately after completion of their work for you. It is your responsibility to ensure that deletion takes place.

In consideration of us granting you the rights set out in this EULA, you agree to pay us the applicable licence fee. 

Our fees are in GBP and exclusive of VAT, if applicable. 

We warrant that the Font will, when properly used and on an operating system for which it was designed, perform substantially in accordance with the functions described by us in any accompanying information.

If you notify us in writing of any defect or fault in the Font as a result of which it fails to perform substantially in accordance with the accompanying information, we will, at our sole option, either repair or replace the Font, provided that you make available all the information that may be necessary to help us to remedy the defect or fault, including sufficient information to enable us to recreate the defect or fault.

The warranty does not apply:

1. If the defect or fault in the Font results from you having altered or modified the Font; and
2. If the defect or fault in the Font results from you having used it in breach of the terms of this EULA; and
3. If the defect or fault in the Font results from accident or abuse or if the Font is lost or damaged due to theft, fire or negligence. 

Although we make every effort to ensure that the Font is free from viruses and works effortlessly, we do not guarantee that the use of the Font will meet your individual requirements or is fit for a specific purpose, nor that the Font is errorfree, free from viruses or that its use is always uninterrupted. 

You are solely responsible to ensure the security of your hardware. Installation of the Font is at your own risk.

You acknowledge that the Font has not been developed to meet your individual requirements, including any particular cybersecurity requirements you might be subject to under law or otherwise, and that it is therefore your responsibility to ensure that the facilities and functions of the Font meet your requirements.

We shall not in any circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the EULA for:

1. Loss of profits, sales, business, or revenue;
2. Business interruption;
3. Loss of anticipated savings;
4. Loss or corruption of data or information;
5. Loss of business opportunity, goodwill or reputation;

Where any of the losses set out in (a) to (e) are direct or indirect; or

1. Any special, indirect or consequential loss, damage, charges or expenses.

Other than the losses set out above, our maximum aggregate liability under or in connection with this EULA whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to a sum equal to the licence fee paid by you in the 12 months preceding the date of the event giving rise to the claim. 

Nothing in this clause shall limit or exclude our liability for:

1. Death or personal injury resulting from our negligence;
2. Fraud or fraudulent misrepresentation;
3. Any other liability that cannot be excluded or limited by English law.

This EULA sets out the full extent of our obligations and liabilities in respect of the supply of the Font. Except as expressly stated in this EULA, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Font which might otherwise be implied into, or incorporated in, this EULA whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.

We may terminate this EULA immediately by giving you written notice if you commit a material or persistent breach of this EULA which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so. 

On termination for any reason:

1. All rights granted to you under this EULA shall cease;
2. You must immediately cease and procure that anyone else using the Font ceases all activities authorised by this EULA;
3. You must immediately and permanently delete or remove the Font from all Computers, and immediately destroy all copies of the Font then in your possession, custody or control and certify to us that you have done so.

We have the right to make changes to this EULA from time to time. If we make any changes that are materially affecting you, we will inform you of such changes prior to coming into effect by e-mail.

This EULA and any document expressly referred to in it constitutes the entire agreement between us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter. 

You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this EULA or any document expressly referred to in it. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this EULA or any document expressly referred to in it.

We may transfer our rights and obligations under this EULA to another organisation, for example when we would merge with another company, but this will not affect your rights or our obligations under this EULA.

You may only transfer your rights or your obligations under this EULA to another person or entity if we agree in writing.

Each of the terms and conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.

This EULA shall be governed by and construed in accordance with the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this EULA.

We do NOT give refunds, all sales are final, unless proven that the files are defective, after a period of exhaustive technical support and evaluation.

Please refer to clause 3 for an overview of what you are allowed to do and what you are not allowed to do under this web licence.

You May:

• Download, install and use the Font (as set out below);
• Use the Font for the sole purpose of embedding the Font in one (1) website on one (1) domain via the @font-face mechanism. Use on subdomains of the same website is allowed for the purpose of website development. You may only use the Font on the website so long as the amount of maximum monthly page views stated on your licence is not exceeded. If the amount of maximum monthly page views is exceeded, it is your responsibility to purchase additional usage rights. Page views are determined by the total number of monthly views on a singular website and its subdomains. If the website exceeds the maximum number of monthly page views by 15% or more for three (3) consecutive months, an upgraded licence will need to be purchased within the next calendar month. 

Please contact us if you want to extend your licence. Web licences cannot be downgraded. 

For the purpose of monitoring the monthly page views of the website, you are required to record and control the number of page views using an analytics tool generally recognised to be able to properly document website page views. We reserve the right to access and audit your records to prove the amount of monthly page views is within your current licence limit. 

If you wish to change the domain of the website and you want to be able to use the Font on that changed domain, you must notify us in writing prior to using the Font on the new domain. Only when we agree in writing to the domain change, you are allowed to use the Font on the new domain. At the same time, you have to delete the Font from the domain it was used on before. The change of a domain is not allowed when it effectively results in the transfer of the Font to a third party, because this EULA cannot be transferred to third parties.

You May Not:

• Copy or reproduce the Font;
• Modify, reverse-engineer, disassemble, decompile or create derivative works based on the whole or part of the Font in any way; 
• Combine the Font or any part of it with or incorporate it into any other programs;
• publish, make available, disseminate, distribute or otherwise communicate to the public the Font;
• Transfer, rent, lease, loan, merge or sublicence the Font to any other person or entity;  
• Delete or obscure any proprietary signs;
• Use the Font for resale purposes; 
• Use the Font for flat or static imagery (this requires an additional desktop licence);
• Embed the Font in documents, apps or e-books (this requires additional licences);
• Embed the Font on any of the following locations:
  • Cloud based storage servers, e.g. GitHub;
  • Publicly accessible servers;
  • Web applications/software which allow for texts to be edited;
  • Software that allows saving/exporting of files;
  • Interactive web games;
  • Paid PDF’s/e-books;
• Allow or enable anyone else to undertake any of the above actions.

You agree to refrain from all such actions and you understand that you will be fully liable to us for any damages and losses suffered by us if you take any such action.

The amount of downloads refers to the total amount of downloads across all platforms the app or e-book is made available on. If the amount of downloads is exceeded, it is your responsibility to purchase additional usage rights. If the amount of downloads is exceeded by 15%, an upgraded licence will need to be purchased within the next calendar month. 

Please contact us if you want to extend your licence. App & e-book licences cannot be downgraded. 

For the purpose of monitoring the amount of downloads, you are required to record the amount of downloads. We reserve the right to access and audit your records to prove the amount of downloads is within your current licence limit.

We have the right to make changes to this EULA from time to time. If we make any changes that are materially affecting you, we will inform you of such changes prior to coming into effect by e-mail. 

This EULA and any document expressly referred to in it constitutes the entire agreement between us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter. 

You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this EULA or any document expressly referred to in it. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this EULA or any document expressly referred to in it.

We may transfer our rights and obligations under this EULA to another organisation, for example when we would merge with another company, but this will not affect your rights or our obligations under this EULA.

You may only transfer your rights or your obligations under this EULA to another person or entity if we agree in writing.

Each of the terms and conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.

This EULA shall be governed by and construed in accordance with the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this EULA.

We do NOT give refunds, all sales are final, unless proven that the files are defective, after a period of exhaustive technical support and evaluation.

This End User Licence Agreement (“EULA”) contains the terms and conditions which apply to the use of the Font on a trial basis.  

The Font is made available for use by Socio Type Ltd, a company registered in England and Wales under number 11821344 and with its registered address at 1-5 Clerkenwell Road, London, England, EC1M 5PA. Socio Type Ltd is referred to as “we”, “us” and “our” in this EULA and the entity or individual using the Font on a trial basis is referred to as “user” and “you”, “your” and “yours”. “Font” refers to the design of the font in combination with the underlying software which generates the typographic design, typeface and any other elements of a font, as well as any accompanying documentation. If you purchase multiple fonts, Font refers to each font you purchase. 

If you opt for a trial of our Font and you click ‘accept’, you enter into a binding legal agreement with us and you are bound by this EULA. Therefore it is important to read and understand this EULA before you accept it. If you do not agree with or you do not want to be bound by any of the provisions of this EULA you should not use our Font. 

When a company trials our Font, the individual acting on behalf of that company warrants that it is authorized to act for and enter into binding legal agreements on behalf of the company. 

We make our Fonts available to business users only, not consumers.

When you have chosen to trial our Font, it does not mean you will become the legal owner thereof. The Font remains our property at all times. You are granted – free of charge – the right to use the Font under the restrictions set out in this EULA. 

We are and will remain at all times the exclusive proprietor of all intellectual property rights in and attached to the Font, including, without limitation, copyright, design rights, rights on computer software and database rights. You acknowledge that you will not have access to the source code of the Font. We are also the exclusive proprietor of the Socio Type trade name, trademark and logo. You may not use it without our prior written consent. 

We grant you a limited, non-exclusive, non-transferable, revocable, worldwide licence to use the Font for as long as necessary to test its suitability in accordance with the terms and conditions contained in this EULA. Any other use beyond what is allowed under this EULA is strictly forbidden and is considered an infringement of our rights. If you have tested the Font and you decide you want to use if for other purposes, you need to purchase an appropriate paid licence. 

You understand that under the trial licence you have fewer and more limited rights compared to paid licences. Please refer to clause 3 for an overview of what you are allowed to do and what you are not allowed to do under this trial licence.

You May:

• Download, install and use the Font (as set out below);
• Use the Font for the sole purpose of evaluating and testing its suitability for your business needs on as many devices as necessary to determine its suitability;
• Embed the Font into documents/files, provided the use of such documents/files complies with the above test purpose. 

A device is any desktop computer, laptop, tablet, smartphone or similar device.

You May Not:

• Copy or reproduce the Font;
• Modify, reverse-engineer, disassemble, decompile or create derivative works based on the whole or part of the Font in any way; 
• Combine the Font or any part of it with or incorporate it into any other programs;
• Publish, make available, disseminate, distribute or otherwise communicate to the public the Font;
• Transfer, rent, lease, loan, merge or sublicence the Font to any other person or entity;  
• Delete or obscure any proprietary signs;
• Use the Font for commercial and/or resale purposes; 
• Convert the provided format of the Font into any other format;
• Use the Font for any purpose beyond that of evaluating and testing its suitability, including, but not limited to embedding it in websites, apps and e-books; 
• Allow or enable anyone else to undertake any of the above actions.

You agree to refrain from all such actions and you understand that you will be fully liable to us for any damages and losses suffered by us if you take any such action.

Although we make every effort to ensure that the Font is free from viruses and works effortlessly, we do not guarantee that the use of the Font will meet your individual requirements nor that the Font is errorfree, free from viruses or that its use is always uninterrupted. 

You are solely responsible to ensure the security of your hardware. Installation of the Font is at your own risk. 

The Font is provided to you ‘as is’. We make no warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

You acknowledge that the Font has not been developed to meet your individual requirements, including any particular cybersecurity requirements you might be subject to under law or otherwise, and that it is therefore your responsibility to ensure that the facilities and functions of the Font meet your requirements.

We shall not in any circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the EULA for:

1. Loss of profits, sales, business, or revenue;
2. Business interruption;
3. Loss of anticipated savings;
4. Loss or corruption of data or information;
5. Loss of business opportunity, goodwill or reputation;

Where any of the losses set out in (a) to (e) are direct or indirect; or

1. any special, indirect or consequential loss, damage, charges or expenses.

Other than the losses set out above, our maximum aggregate liability under or in connection with this EULA whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to a sum equal to the licence fee paid by you in the 12 months preceding the date of the event giving rise to the claim. 

Nothing in this clause shall limit or exclude our liability for:

1. Death or personal injury resulting from our negligence;
2. Fraud or fraudulent misrepresentation;
3. Any other liability that cannot be excluded or limited by English law.

This EULA sets out the full extent of our obligations and liabilities in respect of the supply of the Font. Except as expressly stated in this EULA, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Font which might otherwise be implied into, or incorporated in, this EULA whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.

We may terminate this EULA immediately by giving you written notice if you commit a material or persistent breach of this EULA which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so. 

On termination for any reason:

1. all rights granted to you under this EULA shall cease;
2. you must immediately cease all activities authorised by this EULA;
3. you must immediately and permanently delete or remove the Font from all devices, and immediately destroy all copies of the Font then in your possession, custody or control and certify to us that you have done so.

For TV, feature films, titles, games, credits or any other text on screen: covering both streaming services and broadcasting. Perpetual and non-perpetual licenses can be discussed.

If you require a large numbers of users, possibly across different platforms or contexts. We can also come to an agreement if you plan on using different Sociotype font families with a larger number of users.

The semi-bespoke option. We can modify or add to an existing typeface in our collection. This also covers extra linguistic coverage.

An entirely bespoke typeface, in any required format, weight or style. The opportunity to create something that’s entirely identifiable as yours. We can also create custom wordmarks on request.
